Terms of Service
Thank you for using Remoji! This document outlines the Terms of Service (the "Terms") that govern your use of (1) the Remoji website, accessible at https://remoji.app or any subdomains or properties thereof (collectively, the "Site"), and (2) the Remoji Discord application, including all related services, software, Application Probgram Interfaces ("APIs"), and other services (collectively, the "Services"). Your use of the Site and the Services is subject to the following Terms. By using the Site and the Services, you agree to comply with and be bound by these Terms. If you do not agree to these Terms, you may not use the Site or the Services.
Definitions
In these Terms:
"Remoji" means the Site and the Services, as previously defined, collectively representing the Remoji Bot brand and the original creator(s) of the Site and Services.
"Remoji Bot" or the "Bot" means the Discord application and bot service that is owned and operated by Remoji through the Discord API, as defined herein.
"Discord" means Discord, Inc., a California corporation, and its affiliates.
"Discord API" means the Discord Application Programming Interface (API), a service provided by Discord that allows developers to interact with Discord and services on the Discord platform.
"Discord App" means the voice, vidoes, and text chat service provided by Discord.
"User Content" means any content that a User uploads or otherwise submits or makes available to the Site or the Services, including without limitation content submitted in the form of a hyperlink to another website or service.
"End-User Data" means data that is available to Remoji in connection with your use of the Site and the Services, including, notably, but not limited to, your Discord account information, such as your Discord username, Discord ID, and other public information associated with your Discord account, as well as information you submit to Remoji through the Remoji Bot or the Site or the Services, such as Discord emoji images, content you submit or upload (including, wihout limitation, User Content) and other information you provide through user interfaces in Remoji Bot, the Site, or the Services.
Grant of License
Remoji grants you a limited, non-exclusive, non-transferable, revocable license to use the Site and the Services. You may not use the Site and the Services for any purpose that is unlawful or prohibited by these Terms.
User Content
You may not use the Site and the Services to post, upload, store, host, transmit, send, display, perform, reproduce, publish, distribute, or otherwise make available any User Content that:
is unlawful or violates any law;
is obscene, defamatory, libelous, threatening, invasive of privacy, or otherwise objectionable;
is a trade mark, logo, or other proprietary information of any third party;
violates these Terms or any other agreements between you and Remoji or you and Discord; or
is in violation of any intellectual property rights
By submitting User Content to the Site and the Services, you grant Remoji a worldwide, non-exclusive, royalty-free, irrevocable, sublicensable, and fully paid license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content in any and all media. You certify that you own or control all rights in the User Content and that you have the right to grant the license set forth in this section. You further certify that you have the right to grant the license set forth in this section to Remoji and to Discord, as applicable.
Term and Termination
These Terms shall remain in full force and effect while you use the Site and the Services. You may terminate your license to use the Site and the Services at any time, for any reason, by deleting your account and all related information, files, and content from the Site and the Services. Remoji may also, in its sole discretion, at any time and for any reason, immediately terminate your license to use the Site and the Services (or any portion thereof) without notice.
Remoji my alter these Terms from time to time. If Remoji does so, we will notify you by posting a notice on the Site or in a prominent, one-time notice on the Services.
If you continue to use the Site and the Services after notice of any changes to these Terms, you agree to be bound by the revised Terms.
Indemnification & Disclaimers of Warranties and Liability
The Site and the Services are provided to you "AS IS" and "AS AVAILABLE" and without any warranty of any kind, express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Remoji makes no warranty that the Site and the Services will be uninterrupted, timely, secure, or error-free. Remoji makes no warranty that the Site and the Services will meet your requirements, or that the Site and the Services will be compatible with any other software, hardware, or service. Remoji does not warrant that the Site and the Services will be available at any specific times or locations, or that any defects will be corrected. Remoji makes no warranty that the results that may be obtained from the use of the Site and the Services will be accurate, reliable, current, or error-free.
TO THE EXTENT PERMITTED BY LAW, REMOJI DISCLAIMS ALL LIABILITY FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SITE OR THE SERVICES, (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SITE OR THE SERVICES, (III) ANY CONTENT OBTAINED FROM THE SITE OR THE SERVICES, AND (IV) ANY ERRORS OR OMISSIONS IN THE SITE AND THE SERVICES.
BY USING THE SITE AND THE SERVICES, YOU AGREE THAT YOU WILL NOT HOLD REMOJI, ITS EMPLOYEES, AGENTS, OR AFFILIATES LIABLE FOR ANY LOSSES OR DAMAGES, INCLUDING WITHOUT LIMITATION, LOST PROFITS, LOST SAVINGS, OR ANY OTHER INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. YOU AGREE THAT REMOJI WILL NOT BE LIABLE FOR ANY LOSS OR DAMAGE OF ANY KIND, HOWEVER CAUSED, RESULTING FROM ANY ERRORS OR OMISSIONS IN THE SITE AND THE SERVICES, OR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF ANY ACTIONS TAKEN IN RELIANCE ON THE SITE AND THE SERVICES.
Additional Indemnification
You agree to indemnify, defend, and hold harmless Remoji and its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising out of or related to your use of the Site and the Services, your violation of these Terms, or your violation of any rights of a third party, including but not limited to intellectual property rights.
